Ratification of Acts. None of the provisions contained in this Agreement is intended to constitute, or shall be construed in any manner as constituting, a ratification by the Company (or by any of its directors, officers or other agents) of any action or inaction on the part of Indemnitee.
Ratification of Acts. Without prejudice to the generality of Clauses 19.1 (Appointment by the Subordinated Creditors) and 19.2 (Appointment by the Obligors), each of the Secured Parties and the Obligors hereby undertakes with the Security Agent and/or the Senior Agent that promptly upon request, each Secured Party or Obligor will ratify and confirm all transactions entered into and other actions by the Security Agent and/or the Senior Agent (or any of their substitutes or delegates) in the proper exercise of the power of attorney granted to it hereunder.
Ratification of Acts. On or prior to the Effective Date, Cummins and Filtration in their respective capacities as direct or indirect equity holders of their respective Subsidiaries, shall each ratify any actions that are reasonably necessary or desirable to be taken by any Subsidiary of Cummins or Subsidiary of Filtration, as the case may be, to effectuate the transactions contemplated by this Agreement and the Ancillary Agreements.
Ratification of Acts. Without prejudice to the generality of Clauses 17.1 (Appointment by the Finance Parties and Intragroup Creditors) and 17.2 (Appointment by the Obligors), each of the Finance Parties, the Intragroup Creditors and the Obligors hereby undertakes with the Security Agent and/or the Senior Agent that promptly upon request, each Finance Party, Intragroup Creditors or Obligor will ratify and confirm all transactions entered into and other actions by the Security Agent and/or the Senior Agent (or any of their substitutes or delegates) in the proper exercise of the power of attorney granted to it hereunder.
Ratification of Acts. Without prejudice to the generality of Clause 10.1 (Appointment by the Creditors) and Clause 10.2 (Appointment by the Obligors), each of the Senior Finance Parties and the Subordinated Creditors and the Obligors hereby undertakes to the relevant Appointee, that promptly upon request, such party will ratify and confirm all transactions entered into and other actions by the Appointee, as the case may be (or any of their substitutes or delegates) in the proper exercise of any power of attorney granted to it hereunder.
Ratification of Acts. Beneficiary hereby ratifies and confirms any and all acts which the herein-named Trustee, or its successor or successors in this trust, shall do lawfully by virtue hereof. Grantor hereby agrees, on behalf of itself and of its heirs, executors, administrators, successors and assigns, that the recitals contained in any deed or deeds executed in due form by any Trustee or substitute trustee, acting under the provisions of this instrument, shall be prima facie evidence of the facts recited, and that it shall not be necessary to prove in any court, otherwise than by such recitals, the existence of the facts essential to authorize the execution and delivery of such deed or deeds and the passing of title thereby.
Ratification of Acts. The Members hereby ratify, affirm, acknowledge and agree to be bound by all acts performed and contracts entered into on behalf of the Company by the Members in accordance with this Agreement. No party shall be required to inquire as to the purposes for which such an act is performed or such a contract is entered into, it being conclusively presumed that such act or contract is authorized by all of the Members.
Ratification of Acts. The Partners hereby ratify, affirm, acknowledge and agree to be bound by all acts heretofore performed and contracts heretofore entered into on behalf of the Partnership by the General Partner, or being performed or entered into contemporaneously with the execution of this Agreement. No party shall be required to inquire as to the purposes for which an act is performed, a contract is entered into or funds are used, it being conclusively presumed that such are to be and shall be used for purposes authorized under this Partnership Agreement.
Ratification of Acts. To the extent permitted by law, Pledgor hereby ratifies all that said attorneys shall lawfully do or cause to be done by virtue hereof. This power of attorney is a power coupled with an interest and shall be irrevocable.
Ratification of Acts. The Borrower hereby ratifies, to the extent permitted by law, all that the attorneys acting pursuant to this subsection shall lawfully, and in good faith do or cause to be done by virtue hereof.
