RATIFICATION OF LOAN DOCUMENTS. Except as provided herein, all terms and conditions of the Credit Agreement and of the other Loan Documents remain in full force and effect. The Loan Parties each hereby ratify, confirm, and reaffirm all of the representations and warranties contained therein.

The Loan Parties each hereby ratify, confirm, and reaffirm that all of the representations and warranties of the Loan Parties contained thereinin the Credit Agreement or any other Loan Document are true and correct in all material respects on and as of the date hereof, except to the extent that such representations and warranties specifically refer to an earlier date, in which case they are true and correct in all material respects as of such earlier date.

Except as provided herein, The Obligors hereby ratify and confirm all terms and conditions of the Credit Agreement Loan Documents and of acknowledge that the other Loan Documents remain in full force and effect. The effect in all respects, except as such Loan Parties each hereby ratify, confirm, and reaffirm all Documents are modified by the express terms of the representations and warranties contained thereinthis Agreement.

Except as provided hereinherein and in any other documents of even date amending the other Loan Documents, all terms and conditions of the Credit Agreement and of the other Loan Documents remain in full force and effect. The Loan Parties each hereby ratify, confirm, and reaffirm all of the representations and warranties contained thereintherein both before and after giving effect to the Xxx Transaction and the other transactions described in Paragraph 5 hereof.

The Loan Parties each Borrower hereby ratifyratifies, confirmconfirms, and reaffirm reaffirms (i) all of the representations, warranties and covenants therein contained (except to the extent that such representations and warranties contained thereinexpressly relate to an earlier date), and (ii) that all Collateral secures all of the Liabilities, as modified hereby.

RATIFICATION OF LOAN DOCUMENTS. Except as provided hereinspecifically amended by this Agreement, and for the avoidance of doubt, all of the terms and conditions of the Credit Agreement Loan Agreement, Forbearance Agreement, and of each of the other Loan Documents shall remain in full force and effect. The Loan Parties each Obligors hereby ratify, confirm, and reaffirm all of the representations representations, warranties and warranties covenants contained therein.
