Common use of Ratification of Prior Actions Clause in Contracts

Ratification of Prior Actions. All prior actions taken on behalf of the Company pursuant to any preceding limited liability company agreement or otherwise by any Member or Officer or any other person who at the time in question was acting as a manager or other representative of the Company are hereby ratified and confirmed.

All prior actions taken on behalf of the Company pursuant prior to any preceding limited liability company agreement or otherwise by any Member or Officer or any other person who at the time in question was acting as a manager or other representative effective date of this Agreement and/or the filing of the Certificate of Formation of the Company by the Managers or by any individual Manager, or by any other authorized person, and any agreement entered into on behalf of the Company by such parties, are hereby ratified approved, ratified, confirmed and confirmedadopted as actions and/or agreements of the Company.
