Common use of Ratification of this Agreement Clause in Contracts

Ratification of this Agreement. An instrument, executed by the Disposing Member and its Assignee, containing the following information and agreements, to the extent they are not contained in the instrument described in Section 3.03(g)(i)(A): (I) the notice address of the Assignee; (II) the Assignee’s ratification of this Agreement and agreement to be bound by it, and its affirmation that the representations and warranties in Section 3.02 are true and correct with respect to it; and (III) representations and warranties by the Disposing Member and its Assignee that the Disposition and admission are being made in accordance with all applicable Laws.

Ratification of this Agreement. An instrument, executed by the Disposing Member and its Assignee, containing the following information and agreements, to the extent they are not contained in the instrument described in Section 3.03(g)(i)(A9.01(b)(iii)(A)(1): (Iaa) the notice address of the Assignee; (IIbb) the Sharing Ratios after the Disposition of the Disposing Member and its Assignee (which together must total the Sharing Ratio of the Disposing Member before the Disposition); and (cc) the Assignee’s 's ratification of this Agreement and agreement to be bound by it, and its affirmation confirmation that the representations and warranties in Section 3.02 10.01 are true and correct with respect to it; and (III) representations and warranties by the Disposing Member and its Assignee that the Disposition and admission are being made in accordance with all applicable Laws.
