Common use of Ratifications Clause in Contracts

Ratifications. The terms and provisions set forth in this Amendment shall modify and supersede all inconsistent terms and provisions set forth in the Agreement and, except as expressly modified and superseded by this Amendment, the terms and provisions of the Agreement, including, without limitation, all financial covenants contained therein, are ratified and confirmed and shall continue in full force and effect. Lender and Borrower agree that the Agreement as amended hereby shall continue to be legal, valid, binding and enforceable in accordance with its terms.

Ratifications. Lender , and Borrower agree that the Agreement as amended hereby shall continue to be legal, valid, binding and enforceable in accordance with its termsobligations of the PARTIES.

Ratifications. The terms and provisions set forth in this Amendment shall modify and supersede all inconsistent terms and provisions set forth in the Agreement and(and all prior agreements, except letters, proposals, discussions and other documents) regarding the matters addressed in this Amendment. Except as otherwise expressly modified and superseded by this Amendmentherein, the all other terms and provisions conditions of the Agreement, including, without limitation, all financial covenants contained therein, Agreement shall remain in full force and effect and are ratified and confirmed and shall continue in full force and effect. Lender and Borrower The parties hereto agree that the Intercreditor Agreement as amended hereby shall continue to be legal, valid, binding and enforceable in accordance with its terms.

The terms and provisions set forth in this Amendment shall modify and supersede all inconsistent terms and provisions set forth in the Agreement and, and except as expressly modified and superseded by pursuant to Article 2 of this Amendment, the terms and provisions of the Agreement, including, without limitation, all financial covenants contained therein, Agreement and the other Loan Documents are ratified and confirmed and shall continue in full force and effect. Lender Each Loan Party, the Administrative Agent, and Borrower the Lenders party hereto agree that the Agreement as amended hereby and the other Loan Documents shall continue to be legal, valid, binding and enforceable in accordance with its their respective terms.

Ratifications. The terms and provisions set forth in this Amendment shall modify and supersede all inconsistent terms and provisions set forth in the Prior Agreement and, except as expressly modified and superseded by this Amendment, the terms and provisions of the Agreement, including, without limitation, all financial covenants contained therein, Prior Agreement are ratified and confirmed and shall continue in full force and effect. Lender and Borrower agree that the Agreement as amended hereby shall continue to be legal, valid, binding and enforceable in accordance with its terms.

The terms and provisions of the AGREEMENT and AMENDMENT NO.1, except as expressly modified and superseded by this Amendment, the terms and provisions of the Agreement, including, without limitation, all financial covenants contained thereinAMENDMENT NO. 2, are ratified ratified, and confirmed and shall continue in full force and effect. Lender , and Borrower agree that the Agreement as amended hereby shall continue to be legal, valid, binding and enforceable in accordance with its termsobligations of the PARTIES.

Ratifications. Lender and Borrower The Parties hereby agree that the Agreement Note Purchase Agreement, as amended hereby hereby, shall continue to be legal, valid, binding and enforceable in accordance with its terms.

Ratifications. The terms and provisions set forth in this Amendment shall modify and supersede all inconsistent terms and provisions set forth in the Agreement and, except as expressly modified and superseded by this Amendment, the terms and provisions of the Agreement, including, without limitation, all financial covenants contained therein, are ratified and confirmed and shall continue in full force and effect. Lender Agent, Debtor and Borrower Investors agree that the Agreement as amended hereby shall continue to be legal, valid, binding and enforceable in accordance with its terms.

Each Obligor, the Administrative Agent, and the Lender and Borrower agree that the Agreement as amended hereby and the other Loan Documents shall continue to be legal, valid, binding and enforceable in accordance with its their respective terms.

Lender Lessor and Borrower Lessee agree that the Agreement Lease Agreement, as amended hereby hereby, and the other Loan Documents shall continue to be legal, valid, binding binding, and enforceable in accordance with its their respective terms.
