Common use of Rating Agency Costs Clause in Contracts

Rating Agency Costs. In connection with any Rating Agency Confirmation or other Rating Agency consent, approval or review required hereunder (other than the initial review of the Loan by the Rating Agencies in connection with a Securitization), Borrower shall pay all of the costs and expenses of Lender, Servicer and each Rating Agency in connection therewith, and, if applicable, shall pay any fees imposed by any Rating Agency in connection therewith.

Rating Agency Costs. In connection with any Rating Agency Confirmation or other Rating Agency consent, approval or review required hereunder (other than the initial review of the Loan by the Rating Agencies in connection with a Securitization), Borrower shall pay all of the costs and expenses of Lender, Servicer and each Rating Agency in connection therewith, and, if applicable, shall pay any fees imposed by any Rating Agency in connection therewith.

In connection with any Rating Agency Confirmation or other Rating Agency consent, approval or review required hereunder as a result of a request by Borrower (other than the initial review of the Loan by the Rating Agencies in connection with a Securitization), Borrower shall pay all of the costs and expenses of Lender, Servicer and each Rating Agency in connection therewith, and, if applicable, shall pay any fees imposed by any Rating Agency in connection therewith.

In connection with any Rating Agency Confirmation or other Rating Agency consent, approval or review required hereunder (other than the initial review of the Loan by the Rating Agencies in connection with a Securitization), Borrower shall pay all of the reasonable, out-of-pocket costs and expenses of LenderAdministrative Agent, Lenders and Servicer and all costs and expenses of each Rating Agency in connection therewith, and, if applicable, shall pay any fees imposed by any Rating Agency in connection therewith.

In connection with any Rating Agency Confirmation or other Rating Agency consent, approval or review required hereunder (other than the initial review of the Loan by the Rating Agencies in connection with a Securitization), Borrower shall pay all of the costs and expenses of Lender, Servicer Agent and each Rating Agency in connection therewith, and, if applicable, shall pay any fees imposed by any Rating Agency in connection therewith, provided that the maximum cost to Borrower for matters described in this paragraph above shall not exceed $2,500.00.

In connection with any Rating Agency Confirmation or other Rating Agency consent, approval or review required hereunder as a result of Borrowers’ or Guarantor’s actions, inactions or requests for the same (other than the initial review and surveillance of the Loan by the Rating Agencies in connection with a Securitization), Borrower Borrowers shall pay all of the costs and expenses of Lender, Servicer and each Rating Agency in connection therewith, and, if applicable, shall pay any fees imposed by any Rating Agency in connection therewith.

In connection with any Rating Agency Confirmation or other Rating Agency consent, approval or review required hereunder as a result of Borrower’s or Guarantor’s actions, inactions or requests for the same (other than the initial review and surveillance of the Loan by the Rating Agencies in connection with a Securitization), Borrower shall pay all of the costs and expenses of Lender, Servicer and each Rating Agency in connection therewith, and, if applicable, shall pay any fees imposed by any Rating Agency in connection therewith.

Rating Agency Costs. In connection with any Rating Agency Confirmation or other Rating Agency consent, approval or review required hereunder (other than the initial review of the Loan by the Rating Agencies in connection with a Securitization), Borrower shall pay all of the costs and expenses of Lender, Servicer and each Rating Agency Agency, and the reasonable out-of-pocket costs and expenses of Lender and Servicer, in connection therewith, including, without limitations, reasonable legal fees and expenses, and, if applicable, shall pay any fees imposed by any Rating Agency in connection therewith.

Rating Agency Costs. In connection with any Rating Agency Confirmation or other Rating Agency consent, approval or review required hereunder (other than the initial review as a result of the Loan by the Rating Agencies in connection with a Securitization)request of, or action initiated by, Borrower, Borrower shall pay all of the costs and expenses of Lender, Servicer and each Rating Agency in connection therewith, and, if applicable, shall pay any fees imposed by any Rating Agency in connection therewith. For the avoidance of doubt, Borrower shall not have to pay any Rating Agency costs, expenses or fees in connection with the initial review of the Loan by the Rating Agencies in connection with a Securitization.
