RATING AGENCY MONITORING FEES. The parties hereto acknowledge that on the Closing Date the Seller is paying the ongoing monitoring fees of the Rating Agencies relating to the rating of the Certificates and that no monitoring fees are payable subsequent to the Closing Date in respect of the rating of the Certificates.
