Common use of Rating Confirmation Clause in Contracts

Rating Confirmation. The Company covenants and agrees that, at its sole cost and expense, it shall cause to be maintained at all times a Rating from at least one NRSRO that indicates that it will monitor the rating on an ongoing basis. No later than July 30 of each year, commencing in 2021, and promptly upon any change in such Rating, the Company shall provide a notice to each of the holders of the Notes sent in the manner provided in Section 18 with respect to any then current Ratings, which shall include a Rating from at least one NRSRO, and which notice shall include a copy of such Rating.

Rating Confirmation. The Company covenants and agrees that, at its sole cost and expense, it shall cause to be maintained at all times a Rating from at least one NRSRO (but solely to the extent such a Rating is reasonably available) that indicates that it will monitor the rating on an ongoing basis. No later than July June 30 of each yearyear (beginning June 30, commencing in 2021, and promptly upon any change in such Rating, 2020) the Company further covenants and agrees it shall provide a notice to each of the holders of the Notes sent in the manner provided in Section 18 with respect to any all then current Ratings, which shall include a Rating from at least one NRSRO, and which notice shall include a copy of Ratings (but solely to the extent such RatingRatings are reasonably available).

No later than July (i) June 30 of each yearyear (beginning June 30, commencing in 2021, 2019) and (ii) promptly upon after any change in such the Rating, the Company further covenants and agrees it shall provide a notice with evidence of such Rating (or any change thereto) to each of the holders of the Notes sent in the manner provided in Section 18 with respect to any all then current Ratings, which shall include a Rating from at least one NRSRO, and which notice shall include a copy of such Rating.
