Common use of Rating Surveillance Clause in Contracts

Rating Surveillance. The Borrower will retain the Rating Agencies to provide rating surveillance services on any certificates issued in a Securitization. Such rating surveillance will be at the expense of the Borrower in an amount determined by Lender in its reasonable discretion prior to the occurrence of a Securitization, not to exceed a maximum cost of $15,000 per year, and such expense (the "RATING SURVEILLANCE CHARGE") will be paid pursuant to the terms of the Disbursement Agreement.
