Ratings Letter. On and as of the Closing Date, the Securities shall have at least the ratings specified in the Pricing Disclosure Package from S&P Global Ratings and DBRS Limited, and the Company shall have delivered to the Underwriters a letter on or prior to the Closing Date, from S&P Global Ratings and DBRS Limited, or other evidence reasonably satisfactory to the Underwriters, confirming that the Notes have been assigned such ratings.
