The Parent shall not at any time permit the ratio of (i) Secured Indebtedness of the Parent and its Consolidated Subsidiaries determined on a consolidated basis to (ii) Gross Asset Value of the Parent and its Consolidated Subsidiaries Value, to exceed 0.35 be greater than 0.60 to 1.00 at any time. For purposes of determining compliance with immediately preceding subsections (e) and (f), the Indebtedness of the Parent shall include the greater of the Parent’s Recourse Share or Investment Share of the Indebtedness of the Parent’s Consolidation Exempt Entities.
