Re-Allocation Agreement. The Administrative shall have received counterparts of the Re-Allocation Agreement (as amended or amended and restated in a manner satisfactory to the Administrative Agent) duly executed and delivered by each USD Term A Lender, each USD Revolving Lender, each Multicurrency Revolving Lender, each Initial Facing Agent and the Administrative Agent.
