Reaffirm Existing Representations and Warranties. Each representation and warranty of each Credit Party contained in the Amended Credit Agreement and the other Loan Documents is true and correct in all material respects on the date hereof and will be true and correct in all material respects after giving effect to the amendments set forth in Section 1 hereof, except (a) to the extent such representations and warranties are expressly limited to an earlier date, such representations and warranties shall be true and correct in all material respects as of such specified earlier date, and (b) to the extent such representations and warranties are qualified by materiality or Material Adverse Effect, such representations and warranties shall be true and correct in all respects.

Each representation and warranty of each Credit Party Borrower and its Subsidiaries contained in the Amended Credit Agreement and the other Loan Documents is true and correct in all material respects on the date hereof and will be true and correct in all material respects immediately after giving effect to the amendments set forth in Section 1 hereofhereof (other than representations and warranties that were made as of a specific date, except (a) to the extent in which case such representations and warranties are expressly limited to an earlier date, such representations and warranties shall be were true and correct in all material respects as of such specified earlier datewhen made), and (b) except that to the extent that any such representations representation and warranties are warranty is already qualified by materiality or Material Adverse Effectmateriality, such representations representation and warranties warranty shall be true and correct in all respects.
