Reaffirmation Agreement. The Administrative Agent shall have received a Reaffirmation Agreement dated as of the Closing Date, executed and delivered by an authorized officer of the Parent Borrower and each other Loan Party that is party to the Guarantee and Collateral Agreement immediately prior to giving effect to the Closing Date.
