The Company hereby confirms that (a) as of January 24, 2012, the outstanding principal balance of the Notes and all accrued and unpaid interest thereon is $5,973,750.17 and (b) as of December 31, 2011, the accrued and unpaid Revenue Participation (as defined in the Fee Letter) is $5,277,781.92.
