Common use of Reaffirmation of Security Interest Clause in Contracts

Reaffirmation of Security Interest. Each of the Borrowers and Parent confirms and agrees that: (i) all security interests and liens granted to Agent continue in full force and effect, and (ii) all Collateral remains free and clear of any liens other than liens in favor of Agent and Permitted Encumbrances. Nothing herein contained is intended to impair or limit the validity, priority and extent of Agent’s security interest in and liens upon the Collateral.

Reaffirmation of Security Interest. Each of the Borrowers Parent and Parent confirms Borrower hereby confirm and agrees that: (i) agree that all security interests and liens granted to Agent Agent, for the benefit of the Lenders, continue to be 5 perfected, first priority liens and remain in full force and effect, effect and (ii) all shall continue to secure the Obligations. All Collateral remains free and clear of any liens other than liens in favor of Agent and Permitted EncumbrancesLiens. Nothing herein contained is intended to in any way impair or limit the validity, priority priority, and extent of Agent’s existing security interest in and liens upon the Collateral.
