Real Estate Brokers; Finders. Each party represents that it has not had dealings with any real estate broker, finder or other person with respect to this Agreement in any manner. Each party shall hold harmless the other party from all damages resulting from any claims that may be asserted against the other party by any broker, finder or other person with whom the indemnifying party has or purportedly has dealt. Licensor shall pay any commissions and/or fees that are payable to the above-named broker or finder with respect to this Agreement.
Real Estate Brokers; Finders. Each party represents that it has not had any dealings with any real estate broker, finder, or other person, with respect to this Lease in any manner, except as set forth in Paragraph Q of the BLP. Each party shall hold harmless the other party from all damages resulting from any claims that may be asserted against the other party by any broker, finder or other person with whom the other party has or purportedly has dealt, except said brokers. Each party shall pay any commissions or fees that are payable to the brokers listed under its name in Paragraph Q of the BLP in accordance with the provisions of a separate commission contract.

The parties acknowledge that Xxxx Xxxxxxx of Xxxxxxx & Xxxxxxxxx has represented Landlord and Xxxx Xxxxx of CresaPartners has represented Tenant in the negotiation of this Lease and agree that a real estate commission shall be paid to Xxxxxxx & Xxxxxxxxx and CresaPartners pursuant to a separate agreement. Each party shall indemnify, defend, protect and hold the other party harmless from and against all claims, costs, demands, actions, liabilities, losses and expenses (including the reasonable attorneys fees of counsel chosen by the other party) arising out of or resulting from any claims that may be asserted against such other party by any broker, finder or other person with whom the party bearing the indemnity obligation has, or purportedly has, dealt.

The parties acknowledge that separate agents with the real estate brokerage fim, of Xxxxxx Xxxxxxx have represented both Landlord and Xxxxxx In the negotiation of this Lease, namely that [***] of Xxxxxx Xxxxxxx has represented Landlord and [***] of Xxxxxx Xxxxxxx has represented Tenant, and agree that a real estate commission shall be paid to Xxxxxx Xxxxxxx by Landlord pursuant to a separate agreement. Each party shall Indemnify, defend, protect and hold the other party harmless for, from, against and regarding all claims, costs, demands, actions, liabilities, losses and expenses (including the reasonable attorneys fees of counsel chosen by the other party) arising out of or resulting from any claims that may be asserted against such other party by any other broker, finder or other person with whom the party bearing the Indemnity obligation has, or purportedly has, dealt.
Real Estate Brokers; Finders. The parties acknowledge that Xxxxxxx X. Xxxxxxx, Xxxx Xxxxxxxx and Xxxxxx X. Xxxxxxx of CBRE have represented Tenant in the negotiation of this Lease and that a real estate commission shall be paid to CBRE (Xxxxxxx X. Xxxxxxx, Xxxx Xxxxxxxx and Xxxxxx X. Xxxxxxx) by Landlord pursuant to a separate agreement. Each party shall indemnify, defend, protect and hold the other party harmless for, from, against and regarding all claims, costs, demands, actions, liabilities, losses and expenses (including the reasonable attorneys’ fees of counsel chosen by the other party) arising out of or resulting from any claims that may be asserted against such other party, by any other broker, finder or other person with whom the party bearing the indemnity obligation has, or purportedly has, dealt. Each party’s respective obligations pursuant to the foregoing indemnity shall survive the expiration or sooner termination of this Lease.

Landlord and Tenant represent that they have not had dealings with any real estate broker, finder, or other person, with respect to this Lease in any manner, except the person or entity named in Paragraph 13 of the Fundamental Lease Provisions. Each party shall hold the other harmless from all damages resulting from any claims that may be asserted against them by any broker, finder, or other person, with whom Tenant or Landlord has or purportedly had dealt with. Tenant shall pay any commissions or fees that are payable to anyone other than the person or entitle named in Paragraph 13 of the fundamental Lease Provisions.

Each party's respective obligations pursuant to the foregoing indemnity shall survive the expiration or sooner termination of the Lease. If Cresa Partners asserts any claims against Landlord with respect to this Agreement, Landlord will not make a claim against Tenant.
Real Estate Brokers; Finders. Landlord and Tenant warrant and represent each to the other that it has had no dealings with any real estate broker or agent in connection with the negotiation of this Lease, except for Newmark Cornish & Xxxxx (“Landlord’s Broker”), which represents Landlord and CBRE, Inc. (“Tenant’s Broker”), which represents Tenant. and that it knows of no other real estate broker or agent who is or might be entitled to a commission in connection with this Lease. Landlord shall pay Landlord’s Broker and Tenant’s Broker a commission in connection with Landlord and Tenant entering into this Lease, which commission shall be paid pursuant to a separate agreement between Landlord and such broker. Landlord and Tenant agree to indemnify, defend and hold each other and their respective agents harmless from and against any and all liabilities or expenses, including attorneys’ fees and costs, arising out of or in connection with claims made by any broker or individual against the indemnified party for commissions or fees in connection with the execution of this Lease and resulting from the actions of the indemnifying party.
Real Estate Brokers; Finders. Each party represents that it has not had dealings with any real estate broker, finder, or other person, with respect to this Lease in any manner except Jxxx Xxxxxxx & Company who Landlord has retained and Coldwell Banker Commercial who Tenant has retained. The commission owing to Jxxx Xxxxxxx & Company and Coldwell Banker Commercial and the conditions to payment of such commissions are set forth in a separate Commission Agreement dated March 19, 2001. Each Party shall hold harmless the other Party from all damages resulting from any claims that may be asserted against the other Party by any other broker, finder, or other person, with whom the other Party has or purportedly has dealt.
Real Estate Brokers; Finders. Landlord and Tenant warrant and represent each to the other that it has had no dealings with any real estate broker or agent in connection with the negotiation of this Lease, except that Xxxx Xxxxx, Xxxx Xxxxxxxxx and Xxxx Xxxxxxx of Xxxxxxx & Xxxxx Commercial Newmark Xxxxxx Xxxxx represented the Landlord in the negotiation of this Lease, and Xxxx XxXxxxx and Xxxx XxXxxxx of Colliers International represented the Tenant in the negotiation of this Lease (collectively, the “Brokers”), and that neither party knows of any other real estate broker or agent who is or might be entitled to a commission in connection with this Lease. Real estate commissions shall be paid to the Brokers pursuant to a separate agreement. Landlord and Tenant agree to indemnify, defend and hold each other and their respective agents harmless from and against any and all liabilities or expenses, including attorneys’ fees and costs, arising out of or in connection with claims made by any broker or individual against the indemnified party for commissions or fees in connection with the execution of this Lease and resulting from the actions of the indemnifying party.
