Common use of Real Property and Business Premises Clause in Contracts

Real Property and Business Premises. (a) Neither the Company nor the Related Entity owns any real property whatsoever. (b) All of the commercial leases and subleases executed by the Company or the Related Entity are in full force and effect, and neither the Company nor the Related Entity has received notice of any claim of any sort that is currently outstanding and that has been asserted by anyone adverse to the rights of the Company or the Related Entity under any of the leases or subleases mentioned above, or affecting or questioning the rights of the Company or the Related Entity to the continued possession of the commercial leased or subleased premises under any such commercial lease or sublease. (c) Section 3.15(c) of the Disclosure Schedule accurately in all material respects describes all the business premises leased or occupied by the Company or the Related Entity (the “Business Premises”). The Company and the Related Entity, as the case may be, has exclusive occupation of the Business Premises. Neither the Company nor the Related Entity is in breach of any term or obligation of any leases or licenses relating to the Business Premises. Neither the Company nor the Related Entity has been in default with respect to any payments required by it nor has it failed to comply with the terms of each of the leases and/or licenses relating to the Business Premises, except for any default or failure as would not have a Material Adverse Effect. There are no current disputes relating to any of the Business Premises or their use.

The Company Company, the PRC WFOE and the each Related Entity, as the case may be, has exclusive occupation of the Business Premises. Neither None of the Company nor Company, the PRC WFOE or any Related Entity is in breach of any term or obligation of any leases or licenses relating to the Business Premises. Neither None of the Company nor Company, the PRC WFOE and the Related Entity Entities has been in default with respect to any payments required by it nor and has it otherwise failed to comply with the terms of each of the leases and/or licenses relating to the Business Premises, except for any default or failure as would not have a Material Adverse Effect. There are no current disputes relating to any of the Business Premises or their use.
