REAL PROPERTY DESCRIPTION. The real property owned by the Merged Partnership and to become the property of the Surviving Partnership at the Effective Time consists of one or more parcels of land known as Chesterfield Apartments which includes 247 apartments, (the "Project") located in the Township of Middletown and Commonwealth of Pennsylvania, the "Project") more particularly described on EXHIBIT C, attached hereto, together and including all buildings and other improvements thereon, including but not limited to, the 247 apartment units, and all rights of the Merged Partnership in and to any and all streets, roads, highways, alleys, driveways, easements and rights-of-way appurtenant thereto (the foregoing are hereafter collectively referred to as the "Property").

The real property owned by the Merged Partnership and to become the property of the Surviving Partnership at the Effective Time consists of one or more parcels of land known as Chesterfield New Orleans Park Apartments which includes 247 apartments, 308 apartments (the "Project") ), located in the Township of Middletown Upper Xxxxx and Commonwealth of Pennsylvania, the "Project") more particularly described on EXHIBIT C, attached hereto, together and including all buildings and other improvements thereon, including but not limited to, the 247 308 apartment units, and all rights of the Merged Partnership in and to any and all streets, roads, highways, alleys, driveways, easements and rights-of-way appurtenant thereto (the foregoing are hereafter collectively referred to as the "Property").
