Common use of Real Property Matters Clause in Contracts

Real Property Matters. (a) The Company shall use its commercially reasonable efforts to assist HSE in obtaining the following as soon as reasonably practicable, with respect to each parcel of Owned Real Property, an owner’s preliminary report on title (a “Title Commitment”) covering a date subsequent to the Execution Date, issued by the Title Company, which preliminary report shall contain a commitment of the Title Company to issue an owner’s title insurance policy on the most current form of owner’s title insurance policy under applicable title insurance guidelines (a “Title Policy”), with liability in the amount of the approximated fair market value of the subject Owned Real Property as reasonably agreed to between HSE and the Company, together with legible and complete copies of all exceptions and matters referred to therein, and with such affirmative coverages and endorsements as HSE shall reasonably require and are available; and
