Common use of Reasonable Access to Records and Certain Personnel Clause in Contracts

Reasonable Access to Records and Certain Personnel. So long as the Case is pending, (i) the Buyer shall permit Seller's counsel and other professionals employed in the Case reasonable access to the financial and other books and records relating to the Property or the Business (whether in documentary or data form) for the purpose of the continuing administration of the Case (including, without limitation, the pursuit of any avoidance, preference or similar action), which access shall include (a) the right of such professionals to copy, at the Seller's expense, such documents and records as they may request in furtherance of the purposes described above, and (b) Buyer's copying and delivering to Seller or its professionals such documents or records as they may request, but only to the extent Seller or its professionals furnishes Buyer with reasonably detailed written descriptions of the materials to be so copied and Seller reimburses the Buyer for the reasonable costs and expenses thereof), and (ii) Buyer shall provide the Seller and such professionals (at no cost to the Seller) with reasonable access to Xxxxxxx Xxxxxxx, Xxxxx Xxxxxxxxx, Xxxxxx Xxxxxxxx, and such other employees as seller may reasonably request, during regular business hours to assist the Seller in the continuing administration of the Case, provided that such access does not unreasonably interfere with the Buyer's business operations.

So long as the Bankruptcy Case is pending, (i) the Buyer shall permit Seller's counsel and other professionals employed in the Bankruptcy Case (the "Case Professionals") reasonable access to the financial and other books and records relating to the Property or the Business (whether in documentary or data form) for the purpose of the continuing administration of the Bankruptcy Case (including, without limitation, the pursuit of any avoidance, preference or similar action), which access shall include (a) the right of such professionals the Case Professionals to copy, at the Seller's their expense, such documents and records as they may request in furtherance of the purposes described above, and (b) Buyer's copying and delivering to Seller or its professionals Case Professionals such documents or records as they may request, but only to the extent Seller or its professionals furnishes the Case Professionals furnish Buyer with reasonably detailed written descriptions of the materials to be so copied and Seller reimburses the offer to reimburse Buyer for the reasonable costs and expenses thereof), and (ii) Buyer shall provide the Seller and such professionals Case Professionals (at no cost to the Seller) with reasonable access to Xxxxxxx Xxxxxxx, Xxxxx Xxxxxxxxx, Xxxxxx Xxxxxxxx, and such other employees as seller may reasonably request, any members of senior management of Seller that might subsequently be employed by Buyer during regular business hours to assist the Seller in the continuing administration of the Case, provided that such access does not unreasonably interfere with the Buyer's business operations.

So long as the Case is Cases are pending, (i) the Buyer shall permit Seller's the Trustee’s counsel and other professionals employed in the Case Cases reasonable access to the financial and other books and records relating to the Property Acquired Assets or the Business (whether in documentary or data form) for the purpose of the continuing administration of the Case Cases (including, without limitation, the pursuit of any avoidance, preference or similar action), which access shall include (a) the right of such professionals to copy, at the Seller's Sellers’ expense, such documents and records as they may request in furtherance of the purposes described above, and (b) Buyer's ’s copying and delivering to Seller the Trustee or its his professionals such documents or records as they may request, but only to the extent Seller the Trustee or its his professionals furnishes furnish Buyer with reasonably detailed written descriptions of the materials to be so copied and Seller reimburses Sellers reimburse the Buyer for the reasonable costs and expenses thereof), and (ii) Buyer shall provide the Seller and such Trustee or his professionals (at no cost to the SellerSellers) with reasonable access to Xxxxxxx Xxxxxxx, Xxxxx Xxxxxxxxx, Xxxxxx Xxxxxxxx, the officers and such other employees as seller may reasonably request, managers of Buyer during regular business hours to assist the Seller Trustee in the continuing administration of the CaseCases, provided that such access does not unreasonably interfere with the Buyer's ’s business operations.

So As long as the Case is pending, (i) the Buyer shall permit Seller's ’s counsel and other professionals employed in the Case reasonable access to the financial and other books and records relating to the Property or the Business of Klamath Northern (whether in documentary or data form) for the purpose of the continuing administration of the Case (including, without limitation, including the pursuit of any avoidance, preference preference, or similar action), which access shall include (a) the right of such professionals to copy, at the Seller's ’s expense, such documents and records as they such professionals may request in furtherance of the purposes described above, and (b) Buyer's ’s copying and delivering to Seller or its professionals such documents or records as they may request, but only to the extent Seller or its professionals furnishes Buyer with reasonably detailed written descriptions of the materials to be so copied and Seller reimburses the Buyer for the reasonable costs and expenses thereof), and (ii) Buyer shall provide the Seller and such professionals (at no cost to the Seller) with reasonable access to Xxxxxxx Xxxxxxx, Xxxxx Xxxxxxxxx, Xxxxxx Xxxxxxxx, and such other employees as seller may reasonably request, during regular normal business hours to personnel to whom Seller may need continued access post-Closing to assist the Seller in the continuing administration of the Case, provided that so long as such access does not unreasonably interfere with the Buyer's ’s normal business operations.

So long as the Case is pending, (i) the Buyer shall permit Seller's counsel and other professionals employed in the Case reasonable access to the financial and other books and records relating to the Property or the Business (whether in documentary or data form) for the purpose of the continuing administration of the Case (including, without limitation, the pursuit of any avoidance, preference or similar action), which access shall include (a) the right of such professionals to copy, at the Seller's expense, such documents and records as they may request in furtherance of the purposes described above, and (b) Buyer's copying and delivering to Seller or its professionals such documents or records as they may request, but only to the extent Seller or its professionals furnishes Buyer with reasonably detailed written descriptions of the materials to be so copied and Seller reimburses the Buyer for the reasonable costs and expenses thereof), and (ii) Buyer shall provide the Seller and such professionals (at no cost to the Seller) with reasonable access to Xxxxxxx Xxxxxxxthe President, Xxxxx Xxxxxxxxx, Xxxxxx Xxxxxxxx, and such other employees as seller may reasonably request, the Senior Vice President or the Manager of Proprietary Technology of FGL during regular business hours to assist the Seller in the continuing administration of the Case, provided that such access does not unreasonably interfere with the Buyer's business operations.

So long as the Bankruptcy Case is pending, (i) the Buyer Seller shall permit Sellerthe Buyer's counsel and other professionals employed in the Bankruptcy Case reasonable access to the financial and other books and records relating to the Property or the Business (whether in documentary or data form) for the purpose of monitoring the continuing administration status of the Case (including, without limitation, the pursuit of any avoidance, preference or similar action)Property, which access shall include (a) the right of such professionals to copy, at the SellerBuyer's expense, such documents and records as they may request in furtherance of the purposes described above, and (b) Buyerthe Seller's copying and delivering to Seller the Buyer or its professionals such documents or records as they may request, but only to the extent Seller the Buyer or its professionals furnishes the Buyer with reasonably detailed written descriptions of the materials to be so copied and Seller the Buyer reimburses the Buyer Seller for the reasonable costs and expenses thereof), and (ii) Buyer the Seller shall provide the Seller Buyer and such professionals (at no cost to the SellerBuyer) with reasonable access to Xxxxxxx Xxxxxxx, Xxxxx Xxxxxxxxx, Xxxxxx Xxxxxxxx, and such other employees as seller may reasonably request, personnel employed by the Seller during regular business hours to assist the Seller Buyer in the continuing administration of monitoring the CaseProperty, provided that such access does not unreasonably interfere with the BuyerSeller's business operations.

So As long as the Case is pending, (i) the Buyer shall permit Seller's ’s counsel and other professionals employed in the Case reasonable access to the financial and other books and records relating to the Property Purchased Assets or the Business (whether in documentary or data form) for the purpose of the continuing administration of the Case (including, without limitation, the pursuit of any avoidance, preference or similar action), which access shall include (a) the right of such professionals to copy, at the Seller's ’s expense, such documents and records as they may request in furtherance of the purposes described above, and (b) Buyer's ’s copying and delivering to Seller or its professionals such documents or records as they may request, but only to the extent Seller or its professionals furnishes Buyer with reasonably detailed written descriptions of the materials to be so copied and Seller reimburses the Buyer for the reasonable costs and expenses thereof), and (ii) Buyer shall provide the Seller and such professionals (at no cost to the Seller) with reasonable access to Xxxxxxx Xxxxxxx, Xxxxx Xxxxxxxxx, Xxxxxx Xxxxxxxx, and such other employees as seller may reasonably request, various personnel to whom Seller will need continued access post-closing during regular business hours to assist the Seller in the continuing administration of the Case, provided that such access does not unreasonably interfere with the Buyer's ’s business operations.
