Common use of Reasonable Best Efforts; Cooperation Clause in Contracts

Reasonable Best Efforts; Cooperation. From and after the date of this Agreement, and through the earlier of the Closing and the date on which this Agreement is terminated in accordance with Article VII, each of the parties hereto shall, and shall cause each of its controlled Affiliates to, use its respective reasonable best efforts (unless, with respect to any action, another standard of performance is expressly provided for herein) to take, or cause to be taken, all actions, and to do, or cause to be done all things, necessary, proper or advisable under applicable Laws to consummate and make effective the transactions contemplated by this Agreement as promptly as practicable (after giving effect to the provisions hereof relating to the Marketing Period), including satisfaction, but not waiver, of the conditions to Closing set forth in Article VI.

Reasonable Best Efforts; Cooperation. From (i)From and after the date of this Agreement, and through the earlier of the Closing Date and the date on which this Agreement is terminated in accordance with Article VIIVIII, each of the parties hereto shall, and the Company shall cause each of its controlled Affiliates Subsidiaries to, use its respective reasonable best efforts (unless, with respect to any action, another standard of performance is expressly provided for herein) to take, or cause to be taken, all actions, and to do, or cause to be done done, all things, things necessary, proper or advisable under applicable Laws advisable, and in compliance with all Laws, to consummate and make effective the transactions contemplated by this Agreement as promptly as practicable (after giving effect to the provisions hereof relating to the Marketing Period)practicable, including satisfaction, but not waiver, of the conditions to Closing set forth in Article VIVII.
