Reasonable Best Efforts; Notification. (a) Except to the extent that the Parties’ obligations are specifically set forth elsewhere in this Article VI, upon the terms and subject to the conditions set forth in this Agreement (including Section 6.3), each of the Parties shall use reasonable best efforts to take, or cause to be taken, all actions, and to do, or cause to be done, and to assist and cooperate with the other Party in doing, all things necessary, proper or advisable to consummate and make effective, in the most expeditious manner reasonably practicable, the Merger and the other Transactions. (b) Subject to applicable Law and as otherwise required by any Governmental Entity, the Company and Parent each shall keep the other apprised of the status of matters relating to the consummation of the Transactions, including promptly furnishing the other with copies of notices or other communications received by Parent or the Company, as applicable, or any of its Subsidiaries, from any third party or any Governmental Entity with respect to the Transactions (including those alleging that the approval or consent of such Person is or may be required in connection with the Transactions). The Company shall give prompt notice to Parent, and Parent shall give prompt written notice to the Company, upon becoming aware of (i) any condition, event or circumstance that will result in any of the conditions in Sections 7.2(a) or 7.3(a) not being met, or (ii) the failure by such Party to comply with or satisfy in any material respect any covenant, condition or agreement to be complied with or satisfied by it under this Agreement; provided, however, that no such notification shall affect the representations, warranties, covenants or agreements of the Parties or the conditions to the obligations of the Parties under this Agreement.

The Company shall give prompt notice to Parent, and Parent shall give prompt (ii) giving written notice to the Company, other Party upon becoming aware of (ix) that any condition, event representation or circumstance that will result warranty made by it in any of the conditions in Sections 7.2(a) or 7.3(a) not being metthis Agreement, or in the case of Parent, by it, BMS or Merger Sub, has become untrue or inaccurate or (iiy) the of any failure by such Party it, or in the case of Parent, by it, BMS or Merger Sub, to comply with or satisfy in any material respect any covenant, condition obligation or agreement to be complied with or satisfied by it under pursuant to this Agreement; provided, howeverin each case if and only to the extent that such untruth, that no such notification shall affect the representations, warranties, covenants inaccuracy or agreements failure would reasonably be expected to cause any of the Parties conditions set forth in Section 7.2(a) or the conditions Section 7.2(b) (with respect to Parent) or Section 7.3(a) or Section 7.3(b) (with respect to the obligations of the Parties under this AgreementCompany) to fail to be satisfied.
