Common use of Reasonable Consent or Approval of the Parties Clause in Contracts

Reasonable Consent or Approval of the Parties. The parties hereto acknowledge and confirm that where any of them is required to exercise its discretion or grant its approval or consent pursuant to a provision in this Agreement, it shall act reasonably in the exercise of its discretion and will not unreasonably withhold or delay the granting of its approval or consent. This Section shall not apply to any consent or agreement by the Lenders to extend the Conversion Date for either or both the Acquisition Facility and the Operating Facility as contemplated under Section 2.9.
