Common use of Reasonableness and Necessity Clause in Contracts

Reasonableness and Necessity. The parties to this Agreement expressly acknowledge and agree that the restrictions on transfer contained herein: (a) Are reasonable and necessary for the efficient operation of the Company; and (b) Are not, and shall not be construed as being, an unlawful restraint on alienation of an Interest.
