Rebates and Commission. 10.1 Subject to the applicable law, the Clients agree that the Company will be entitled to: a) accept goods and/or services from any counterparty in consideration of directing transactions or businesses on his/her/its behalf to such counterparty; and b) accept and retain cash and/or money rebates, brokerages and/or commission in relation to transactions effected on his/her/its behalf, provided that the Company provide the Clients with periodic quantifications of the value of rebates returned; and c) obtain and keep without being liable to the Clients, any commission payable by any Affiliate or other third parties in connection with the provision of the services. 10.2 Subject to Clause 10.1 of Cash Client Agreement in Part 2 and applicable law, the Clients agree that the Company will be entitled to retain for its own account and benefit any profits, remunerations, fees, benefits, discounts and/or other advantages arising out of or in connection with the provision of the services.

  • Fees and Commissions The fees and commissions that apply to your account are set out in the information box and disclosure statement. You agree to pay the fees and commissions and authorize us to charge them to your account. We reserve the right to change the circumstances in which any of the fees or commissions on your account is charged and the amount of those fees or commissions.   • The Commission 1. The Contracting Parties hereby establish within the framework of the Food and Agriculture Organization of the United Nations (hereinafter referred to as "the Organization") a Commission to be known as the General Fisheries Commission for the Mediterranean (hereinafter referred to as "the Commission"), for the purpose of exercising the functions and discharging the responsibilities set forth in Article III below. 2. The Members of the Commission shall be such Members and Associate Members of the Organization and such non-member States as are members of the United Nations, any of its Specialized Agencies or the International Atomic Energy Agency, that are: (i) coastal States or Associate Members situated wholly or partly within the Region; (ii) States or Associate Members whose vessels engage in fishing in the Region for stocks covered by this Agreement; or (iii) regional economic integration organizations of which any State referred to in subparagraphs (i), or (ii) above is a member and to which that State has transferred competence over matters within the purview of this Agreement; and which accept this Agreement in accordance with the provisions of Article XIII below, it being understood that these provisions shall not affect the membership status in the Commission of such States that are not members of the United Nations, any of its Specialized Agencies or the International Atomic Energy Agency as may have become parties to this Agreement prior to 22 May 1963. As regards Associate Members, this Agreement shall, in accordance with the provisions of Article XIV.5 of the Constitution and Rule XXI.3 of the General Rules of the Organization, be submitted by the Organization to the authority having responsibility for the international relations of such Associate Members.

  • Payment of Commission 7 (1) The Company may exercise the power to make payments by way of brokerage or commission conferred by the Law in the manner provided by the Law. 7 (2) Payments by way of brokerage or commission may be satisfied by the payment of cash and, after the Establishment Period, by the allotment of fully or partly paid shares, or partly by the payment of cash and partly by the allotment of fully or partly paid shares.

  • No Commissions Neither the Company nor any of its Subsidiaries is a party to any contract, agreement or understanding with any person (other than as contemplated by this Agreement or any Terms Agreement) that would give rise to a valid claim against the Company or any of its Subsidiaries or the Agent for a brokerage commission, finder’s fee or like payment in connection with the offering and sale of the Shares.

  • Sales Commissions You shall not be entitled to charge a sales commission on the sale of Shares of the Company.
