Common use of Recapitalization Accounting Treatment Clause in Contracts

Recapitalization Accounting Treatment. Each of the Company, Parent and MergerCo shall use its reasonable best efforts to cause the Transactions, including the Merger, to be accounted for as a recapitalization and such accounting treatment to be accepted by their respective accountants and by the SEC, and each of the Company, Parent and MergerCo agrees that it shall not take or omit to take any action that would cause such accounting treatment not to be obtained.
