Common use of Receipt of Closing Deliveries Clause in Contracts

Receipt of Closing Deliveries. Acquirer shall have received each of the agreements, instruments and other documents set forth in Section 1.2(a)(ii); provided, however, that such receipt shall not be deemed to be an agreement by Acquirer that the amounts set forth on the Company Net Working Capital Certificate or the Spreadsheet or any of the other agreements, instruments or documents set forth in Section 1.2(a)(ii) is accurate and shall not diminish Acquirer’s remedies hereunder if any of the foregoing documents is not accurate.

Receipt of Closing Deliveries. Acquirer shall have received each of the agreements, instruments instruments, certificates and other documents set forth in Section 1.2(a)(ii1.3(b); provided, however, provided that such receipt shall not be deemed to be an agreement by Acquirer that the amounts set forth on the Company Net Working Capital Closing Financial Certificate or the Spreadsheet or any of the other agreements, instruments instruments, certificates or documents set forth in Section 1.2(a)(ii1.3(b) is accurate and shall not diminish Acquirer’s remedies hereunder if any of the foregoing documents is not accurate.

Acquirer Acquiror shall have received each of the agreements, instruments and other documents set forth in Section 1.2(a)(ii1.3(b); provided, however, that such receipt shall not be deemed to be an agreement by Acquirer Acquiror that the amounts set forth on the Company Net Working Capital Certificate, the Closing Expenses Certificate or the Spreadsheet or any of the other agreements, instruments or documents set forth in Section 1.2(a)(ii1.3(b) is accurate and shall not diminish AcquirerAcquiror’s remedies hereunder if any of the foregoing documents is not accurate.

Acquirer Acquiror shall have received each of the agreements, instruments and other documents set forth in Section 1.2(a)(ii1.4(b); provided, however, that such receipt shall not be deemed to be an agreement by Acquirer Acquiror that the amounts set forth on the Spreadsheet or the Company Net Working Capital Certificate or the Spreadsheet or any of the other agreements, instruments or documents set forth in Section 1.2(a)(ii1.4(b) is accurate and shall not diminish AcquirerAcquiror’s remedies hereunder if any of the foregoing documents is not accurate.

Acquirer shall have received each of the agreements, instruments instruments, certificates and other documents set forth in Section 1.2(a)(ii1.2(b); provided, however, provided that such receipt shall not be deemed to be an agreement by Acquirer that the amounts set forth on the Company Net Working Capital Closing Financial Certificate or the Spreadsheet or any of the other agreements, instruments instruments, certificates or documents set forth in Section 1.2(a)(ii1.2(b) is accurate and shall not diminish Acquirer’s remedies hereunder if any of the foregoing documents is not accurate.

Acquirer Acquiror shall have received each of the agreements, instruments and other documents set forth in Section 1.2(a)(iiSections 2.3(b) and 2.3(c); provided, however, that such receipt shall not be deemed to be an agreement by Acquirer Acquiror that the amounts set forth on the Company Net Working Capital Certificate or Certificate, the Spreadsheet Closing Cash Certificate, the Spreadsheet, the Flow of Funds Memorandum or any of the other agreements, instruments or documents set forth in Section 1.2(a)(ii2.3(b) is accurate and shall not diminish AcquirerAcquiror’s remedies hereunder if any of the foregoing documents is not accurate.

Acquirer Acquiror shall have received each of the agreements, instruments and other documents set forth in Section 1.2(a)(ii1.4(b); provided, however, that such receipt shall not be deemed to be an agreement by Acquirer Acquiror that the amounts set forth on the Company Net Working Capital Certificate Closing Statement or the Consideration Spreadsheet or any of the other agreements, instruments or documents set forth in Section 1.2(a)(ii1.4(b) is accurate and shall not diminish AcquirerAcquiror’s remedies hereunder if any of the foregoing documents is not accurate.
