Common use of Receiver as Agent Clause in Contracts

Receiver as Agent. Any Receiver of any of the Collateral shall, so far as the law allows, be deemed to be the agent of the Chargor for all purposes and the Chargor shall be solely responsible for their acts, defaults, contracts, engagements, omissions, losses, liabilities, misconduct and remuneration and the Agent shall not be under any liability whatsoever in such regard.

Receiver as Agent. Any Receiver of any of the Collateral Security Assets shall, so far as the law allows, be deemed to be the agent of the Chargor for all purposes and the Chargor shall be solely responsible for their acts, defaults, contracts, engagements, omissions, losses, liabilities, misconduct and remuneration and the Administrative Agent and the Secured Parties shall not (other than in the case of fraud, gross negligence or wilful misconduct on the part of the Administrative Agent and the Secured Parties) be under any liability whatsoever in such regard.
