Receiver’s Conditions to Closing. In addition to the conditions set forth elsewhere in this Agreement, the obligations of Receiver to consummate the transactions provided for herein are subject to and contingent upon the satisfaction of the following conditions or the waiver of the same by the Receiver in writing:
