Recipient Obligations. 2.1 The Recipient agrees to support the Project in accordance with this Agreement. 2.2 In supporting the Project, the Recipient must: (a) exercise reasonable diligence, care and skill; (b) administer the Funding in accordance with the Agreement to support the Fellow to complete the Project; (c) not replace the Fellow named in the Application with another person; (d) complete the Project Deliverables by the relevant Deliverable due dates. This includes the provision of the required Reports, Financial Acquittal Statements and valid tax invoices; (e) ensure that the Fellow completes the Project Milestones annually; (f) ensure it makes the Recipient Contribution to the Project as per the Application and summarised in Item 11 of Schedule 1; (g) ensure the Partners provide the Partner Contributions to the Project as per the Application and summarised in Item 12 of Schedule 1; (h) ensure that the Project expenditure is managed in accordance with the project expenditure table in the Application; (i) notify the Department within 20 Business Days of any matter that may affect the Fellow or Recipient’s eligibility for funding under the Guidelines, including but not limited to: (i) the Fellow ceasing employment with the Recipient; (ii) the Fellow moving residence to outside of Queensland; (iii) the Fellow travelling outside of Queensland for more than six weeks; (iv) the Fellow taking extended leave or being unable to undertake the Project for an extended period; (v) the Fellow changing the proportion of their time committed to the Project; (vi) the Recipient Contributions or Partner Contributions changing; (vii) the Project Partner organisations changing; and (viii) the Project expenditure changing. (j) ensure that (where relevant): (i) the Project complies with National Health and Medical Research Council Guidelines; (ii) the Project complies with the Code of Ethical Practice for Biotechnology in Queensland; (iii) the Project is cleared by all relevant ethical committees prescribed by the Recipient organisation’s research rules; and (iv) evidence of compliance with this clause is provided, if requested by the Department; (k) not assign, transfer or subcontract its obligations, without prior written consent of the Department; (l) notify the Department of any breach of these terms or any matter that may affect the performance of the Agreement; and (m) comply with all relevant laws.

(iv) any other records relating to the Project which are reasonably required by the Department;
(i) ensure that the Project expenditure is managed in accordance with the project budget/expenditure table in the Application;
(ij) ensure that, upon completion of the fellowship (early or full-term), the total Project expenditure is shared proportionally between the Funding and the Co-funding as outlined in the application;
(k) notify the Department within 20 Business Days of any matter that may affect the Fellow or Recipient’s eligibility for funding under the Guidelines, including but not limited to:
(i) the Fellow ceasing employment with the Recipient;
(ii) the Fellow moving residence to outside of Queensland;
(iii) the Fellow securing another research grant, including another fellowship;
(iv) the Fellow travelling outside of Queensland for more than six weeks;
(ivv) the Fellow taking extended leave or being unable to undertake the Project for an extended period;
(vvi) the Fellow changing the proportion of their time committed to the Project;
(vivii) the Recipient Contributions or Partner Contributions changing;
(viiviii) the Project Partner organisations changing; and
(viiiix) the Project expenditure changing.
(jl) ensure that (where relevant):
(i) the Project complies with National Health and Medical Research Council Guidelines;
(ii) the Project complies with the Code of Ethical Practice for Biotechnology in Queensland;
(iii) the Recipient and all Partners are compliant with the Biodiscovery Act 2004;
(iv) the Project is cleared by all relevant ethical committees prescribed by the Recipient organisation’s research rules; and
(ivv) evidence of compliance with this clause is provided, if requested by the Department;
(km) not assign, transfer or subcontract its obligations, without prior written consent of the Department;
(ln) notify the Department of any breach of these terms or any matter that may affect the performance of the Agreement; and

(h) ensure that the Project expenditure is managed in accordance with the project expenditure table in Schedule 3;
(h) notify the ApplicationDepartment of any matter that may affect the Fellow’s eligibility for Funding under the Funding Rules;
(i) notify the Department within 20 Business Days of any matter that may affect if the Fellow or Recipient’s eligibility travels outside of Queensland for funding under more than six consecutive weeks per annum during the Guidelines, including but not limited to:
(i) Term of the Fellow ceasing employment with the RecipientAgreement;
(iij) notify the Department if the Fellow moving moves residence to outside of Queensland;
(iii) the Fellow travelling outside of Queensland for more than six weeks;
(iv) the Fellow taking extended leave or being unable to undertake the Project for an extended period;
(v) the Fellow changing the proportion of their time committed to the Project;
(vi) the Recipient Contributions or Partner Contributions changing;
(vii) the Project Partner organisations changing; and
(viii) the Project expenditure changing.
(j) ensure that (where relevant):
(i) the Project complies with National Health and Medical Research Council Guidelines;
(ii) the Project complies with the Code of Ethical Practice for Biotechnology in Queensland;
(iii) the Project is cleared by all relevant ethical committees prescribed by the Recipient organisation’s research rules; and
(iv) evidence of compliance with this clause is provided, if requested by the Department;
(k) not assign, transfer or subcontract its obligations, without prior written consent of the Department;
(l) notify the Department of any breach of these terms or any matter that may affect the performance of the Agreement; and;
(l) ensure that the Project is cleared by all relevant ethical committees prescribed by the Recipient’s research rules;
(m) comply with all relevant Queensland, Commonwealth and international laws, statutory requirements, codes, standards, policies, directives and guidelines; and
(n) comply with the Funding Rules.
2.3 The Recipient must at all times ensure that (where relevant) the Project complies with:
(a) the Australian Code for the Responsible Conduct of Research;
(b) the National Statement on Ethical Conduct in Human Research;
(c) the Guidelines for Ethical Conduct in Aboriginal and Xxxxxx Xxxxxx Islander Health Research;
(d) TGA Good Clinical Practice Guidelines; and
(e) the Code of Conduct for the Queensland Public Service.
2.4 The Recipient must at all times ensure that the Fellow has obtained (and maintains throughout the Term) all necessary approvals and clearances for the Fellow to lawfully conduct the Project and otherwise comply with the Department’s policies, including all relevant approvals under:
(a) the Australian code for the care and use of animals for scientific purposes 8th edition (2013);
(b) the Gene Technology Act 2000 (Cth), Gene Technology Regulations 2001 (Cth) and Gene Technology (Queensland) Act 2016 (Qld);
(c) the Research Involving Human Embryos Act 2002 (Cth), Prohibition of Human Cloning for Reproduction Act 2002 (Cth) and Research Involving Human Embryos and Prohibition of Human Cloning for Reproduction Act 2003 (Qld);
(d) the Public Health Act 2005 (Qld); and
(e) the Coroners Act 2003 (Qld).
2.5 The Recipient must ensure that evidence of compliance with this clause is provided, if requested by the Department.
2.6 For the avoidance of doubt, the Department may suspend payments under this Agreement at any time, if the Recipient does not provide evidence of the approvals and clearances required under clause 2, or does not submit the reports required under clause 4.1(a).

(g) ensure maintain timely progress in the Partners provide performance of the Partner Contributions Project and complete the Project, including providing updates to the Project as per Department upon request, during the Application and summarised in Item 12 of Schedule 1Term;
(h) ensure that the Project expenditure is managed in accordance with the project expenditure table in the Application;
(i) notify the Department within 20 Business Days of any matter that which may affect the Fellow or Recipient’s eligibility for funding Funding under the Guidelines, including but not limited to:
(i) the Fellow ceasing employment with the Recipient;
(ii) the Fellow moving residence to outside cessation of Queensland;
(iii) the Fellow travelling outside of Queensland for more than six weeks;
(iv) the Fellow taking extended leave or being unable to undertake the Project for an extended period;

(k) ensure that during the Project it implements and maintains an anti-Cyberbullying policy and process for the detection, prevention, intervention, reporting and management response of Cyberbullying acts or allegations; and
(l) not do anything or become involved in any situation which, in the reasonable opinion of the Department, reflects unfavourably upon the State of Queensland and/or the Project and Program.
2.3 The Recipient must ensure:
(a) the Project Leader has the qualifications and expertise necessary to lead the performance of the Project;
(b) the Project Leader is available to work on the Project; and
(c) if the Project Leader becomes unavailable to work on the Project, the Recipient promptly notifies the Department, and provides a suitably qualified replacement Project Leader.
2.4 The Recipient must notify the Department of any Partner Organisation’s assistance for the Project, including financial or in-kind contributions.
2.5 Irrespective of the involvement of any Partner Organisation (or permitted Subcontractor), the Recipient remains entirely responsible for the performance of the Project.

Recipient Obligations. 2.1 The Recipient agrees to support the Project in accordance with this Agreement.
2.2 In supporting the Project, the Recipient must:
(a) exercise reasonable diligence, care and skill;
(b) administer the Funding in accordance with the Agreement to support the Fellow to complete the Project;
(c) not replace the Fellow named in the Application with another person;
(d) complete the Project Deliverables by the relevant Deliverable due dates. This includes the provision of the required Reports, Financial Acquittal Statements and valid tax invoices;
(e) ensure that the Fellow completes the Project Milestones annually;
(f) ensure it makes the Recipient Contribution to the Project as per the Application and summarised in Item 11 of Schedule 1;
(g) ensure the Partners provide the Partner Contributions to the Project as per the Application and summarised in Item 12 of Schedule 1;
(h) ensure that the Project expenditure is managed in accordance with the project expenditure table in the Application;
(i) notify the Department within 20 Business Days of any matter that may affect the Fellow or Recipient’s eligibility for funding under the Guidelines, including but not limited to:
(i) the Fellow ceasing employment with the Recipient;
(ii) the Fellow moving residence to outside of Queensland;
(iii) the Fellow travelling outside of Queensland for more than six weeks;
(iv) the Fellow taking extended leave or being unable to undertake the Project for an extended period;
(v) the Fellow changing the proportion of their time committed to the Project;
(vi) the Recipient Contributions or Partner Contributions changing;
(vii) the Project Partner organisations changing; and
(viii) the Project expenditure changing.
(j) ensure that (where relevant):
(i) the Project complies with National Health and Medical Research Council Guidelines;
(ii) the Project complies with the Code of Ethical Practice for Biotechnology in Queensland;
(iii) the Recipient and all Partners are compliant with the Biodiscovery Xxx 0000;
(iv) the Project is cleared by all relevant ethical committees prescribed by the Recipient organisation’s research rules; and
(ivv) evidence of compliance with this clause is provided, if requested by the Department;
(k) not assign, transfer or subcontract its obligations, without prior written consent of the Department;
(l) notify the Department of any breach of these terms or any matter that may affect the performance of the Agreement; and
(m) comply with all relevant laws.

(h) ensure that the Project expenditure is managed in accordance with the project expenditure table in the Application;
(i) notify the Department within 20 Business Days of any matter that may affect the Fellow Scholar or Recipient’s eligibility for funding Funding under the Guidelines, including but not limited to:
(i) the Fellow ceasing employment with cessation of the RecipientPrimary PhD Scholarship;
(ii) the Fellow cessation of the PhD enrolment;
(iii) the Scholar moving residence to outside of Queensland;
(iiiiv) the Fellow Scholar travelling outside of Queensland for more than six weeks;
(ivv) the Fellow Scholar taking extended leave or being unable to undertake the Project for an extended period;
(v) the Fellow changing the proportion of their time committed to the Project;; and

(h) ensure that the Project expenditure is managed in accordance with the project expenditure table in Schedule 7;
(h) notify the ApplicationDepartment of any matter that may affect the Fellow’s eligibility for Funding under the Funding Rules;
(i) notify the Department within 20 Business Days of any matter that may affect if the Fellow or Recipient’s eligibility travels outside of Queensland for funding under more than six consecutive weeks per annum during the Guidelines, including but not limited to:
(i) Term of the Fellow ceasing employment with the RecipientAgreement;
(iij) notify the Department if the Fellow moving moves residence to outside of Queensland;
(iii) the Fellow travelling outside of Queensland for more than six weeks;
(iv) the Fellow taking extended leave or being unable to undertake the Project for an extended period;
(v) the Fellow changing the proportion of their time committed to the Project;
(vi) the Recipient Contributions or Partner Contributions changing;
(vii) the Project Partner organisations changing; and
(viii) the Project expenditure changing.
(j) ensure that (where relevant):
(i) the Project complies with National Health and Medical Research Council Guidelines;
(ii) the Project complies with the Code of Ethical Practice for Biotechnology in Queensland;
(iii) the Project is cleared by all relevant ethical committees prescribed by the Recipient organisation’s research rules; and
(iv) evidence of compliance with this clause is provided, if requested by the Department;
(k) not assign, transfer or subcontract its obligations, without prior written consent of the Department;
(l) notify the Department of any breach of these terms or any matter that may affect the performance of the Agreement; and;
(l) ensure that the Project is cleared by all relevant ethical committees prescribed by the Recipient’s research rules;
(m) comply with all relevant Queensland, Commonwealth and international laws, statutory requirements, codes, standards, policies, directives and guidelines; and
(n) comply with the Funding Rules.
2.3 The Recipient must at all times ensure that (where relevant) the Project complies with:
(a) the Australian Code for the Responsible Conduct of Research;
(b) the National Statement on Ethical Conduct in Human Research;
(c) the Guidelines for Ethical Conduct in Aboriginal and Xxxxxx Xxxxxx Islander Health Research;
(d) TGA Good Clinical Practice Guidelines; and
(e) the Code of Conduct for the Queensland Public Service.
2.4 The Recipient must at all times ensure that the Fellow has obtained (and maintains throughout the Term) all necessary approvals and clearances for the Fellow to lawfully conduct the Project and otherwise comply with the Department’s policies, including all relevant approvals under:
(a) the Australian code for the care and use of animals for scientific purposes 8th edition (2013);
(b) the Gene Technology Xxx 0000 (Cth), Gene Technology Regulations 2001 (Cth) and Gene Technology (Queensland) Xxx 0000;
(c) the Research Involving Human Xxxxxxx Xxx 0000 (Cth), Prohibition of Human Cloning for Reproduction Xxx 0000 (Cth) and Research Involving Human Embryos and Prohibition of Human Cloning for Reproduction Xxx 0000 (Qld);
(d) the Public Health Xxx 0000 (Qld); and
(e) the Coroners Xxx 0000 (Qld).
2.5 The Recipient must ensure that evidence of compliance with this clause is provided, if requested by the Department.
2.6 For the avoidance of doubt, the Department may suspend payments under this Agreement at any time, if the Recipient does not provide evidence of the approvals and clearances required under clause 2, or does not submit the reports required under clause 4.1(a).

(ij) ensure that, upon completion of the fellowship (early or full-term), the total Project expenditure is shared proportionally between the Funding and the Co-funding as outlined in the application;
(k) notify the Department within 20 Business Days of any matter that may affect the Fellow or Recipient’s eligibility for funding under the Guidelines, including but not limited to:
(i) the Fellow ceasing employment with the Recipient;
(ii) the Fellow moving residence to outside of Queensland;

2.3 The Recipient must ensure:
(a) the Project Leader has the qualifications and expertise necessary to lead the performance of the Project;
(b) the Project Leader is available to work on the Project; and
(c) if the Project Leader becomes unavailable to work on the Project, the Recipient promptly notifies the Department, and provides a suitably qualified replacement Project Leader.
2.4 The Recipient must:
(a) notify the Department of any changes in Partner Organisation’s assistance for the Project;
(b) ensure any Partner Organisation complies with the Terms and Conditions of this Agreement; and
(c) immediately notify the Department of any breach of these Terms and Conditions by a Partner Organisation, and if directed by the Department, terminate the involvement of that Partner Organisation.
2.5 Irrespective of the involvement of any Partner Organisation (or permitted Subcontractor), the Recipient remains entirely responsible for the performance of the Project.
