Common use of Recipient Software Clause in Contracts

Recipient Software. Recipient shall grant a non-exclusive, nontransferable, royalty-free right for Service Provider, solely in connection with providing the Services, to (1) have access to and operate the Recipient Software and (2) use any other hardware, software and documentation owned by Recipient that is necessary to allow Service Provider to perform the Services. Recipient represents and warrants that it has obtained or will obtain all consents or approvals necessary in connection with Service Provider's use of the Recipient Software, the Licensed Documentation and any other such hardware, software and documentation.
