Common use of Recognition of Assignment by Partnership Clause in Contracts

Recognition of Assignment by Partnership. No assignment, or any part thereof, that is in violation of Article XI hereof shall be valid or effective, and neither the Partnership nor the General Partner shall recognize the same for the purpose of making distributions of Partnership Net Cash Flow pursuant to Section 6.01 hereof with respect to such Partnership interest, or part thereof. Neither the Partnership nor the General Partner shall incur any liability as a result of refusing to make any such distributions to the transferee of any such invalid assignment.

Recognition of Assignment by Partnership. No assignment, or any part thereof, that is in violation of Article XI hereof shall be valid or effective, and neither the Partnership nor the General Partner shall recognize the same for the purpose of allocating profits and losses pursuant to Section 5.01 or making distributions of Partnership Net Cash Flow pursuant to Section 6.01 hereof with respect to such Partnership interest, or part thereof. Neither the Partnership nor the General Partner shall incur any liability as a result of refusing to make any such distributions to the transferee of any such invalid assignment.

Recognition of Assignment by Partnership. No assignment, transfer or other conveyance of any Partner’s interest in the Partnership, or any part thereof, that is in violation of Article XI hereof this Section 9.1 shall be valid or effective, and neither the Partnership nor the General Partner shall recognize the same for the purpose of making distributions of Partnership Net Cash Flow pursuant to Section 6.01 6.1 hereof with respect to such Partnership interest, or part thereof. Neither the Partnership nor the any General Partner shall incur any liability as a result of refusing to make any such distributions to the transferee of any such invalid assignment.
