Common use of Record Date Clause in Contracts

Record Date. For the purpose of determining Members entitled to notice of or to vote at any meeting of Members or any adjournment thereof, or Members entitled to receive payment of any distribution, or in order to make a determination of Members for any other purpose, the date on which notice of the meeting is mailed or the date on which the resolution declaring such distribution is adopted, as the case may be, shall be the record date for such determination of Members. When a determination of Members entitled to vote at any meeting of Members has been made as provided in this Section, such determination shall apply to any adjournment thereof.

Record Date. For any lawful purpose, including without limitation the purpose determination of determining the Members who are entitled to receive notice of or to vote at any meeting of Members or any adjournment thereof, or Members entitled to receive payment of any distribution, or in order to make the Manager(s) may fix a determination of Members for any other purpose, the record date on which notice of the meeting is mailed or shall not be a date earlier than the date on which the resolution declaring such distribution record date is adoptedfixed and shall not be more than sixty (60) days preceding the date of the meeting of Members or the date fixed for the payment of the distribution, as the case may be, shall be the record date for such determination of Members. When a determination of Members entitled to vote at any meeting of Members has been made as provided in this Sectionherein, such determination shall apply to any adjournment thereof.

When a determination of Members entitled to vote at any meeting of Members has been made as provided in this SectionSection 6.6, such determination shall apply to any adjournment thereof.

Record Date. For the purpose of determining Members entitled to receive notice of or to vote at any meeting of Members or any adjournment thereof, to vote at any such Meeting or Members entitled to receive payment of any distribution, —or in order to make a determination for the purpose of determining Members for any other purpose, reason—the date on which notice of the meeting is mailed or the date on which the resolution declaring such distribution or taking such other action is adopted, as the case may be, shall be the record date for such determination of Members. When a determination of Members entitled to vote at any meeting of Members has been made as provided in this SectionSection 4.6, such determination shall apply to any adjournment thereof.

For the purpose of determining Members entitled to notice of or to vote at any meeting of Members or any adjournment thereof, or Members entitled to receive payment of any distributionDistribution, or in order to make a determination of Members for any other purpose, the date on which notice of the meeting is mailed or the date on which the resolution declaring such distribution Distribution is adopted, as the case may be, shall be the record date for such determination of Members.
