If a Stockholder is not the record owner of any Shares as to which such Stockholder is the beneficial owner, such Stockholder agrees to cause or direct the record holder to vote such Shares in accordance with the terms of this Agreement or, to the extent permitted by law, to provide a proxy to the Buyer with respect thereto.
