Common use of Recordation and Costs Clause in Contracts

Recordation and Costs. Seller shall (a) have made arrangements for the Deed and any other Transaction Documents that, in Buyer’s discretion should be recorded (including Uniform Commercial Code financing statements and/or fixture filings), to be recorded or filed for recordation in the manner required by the laws of the State or any other applicable state, and (b) pay, or arrange to be paid, all costs and fees to be paid by Seller pursuant to Section 2.5, and such arrangements shall be satisfactory to Buyer and its counsel in all respects.

Seller shall (a) have made arrangements for the Deed Deeds and any other Transaction Documents that, in Buyer’s discretion should be recorded (including the Uniform Commercial Code financing statements and/or fixture filings), to be recorded or filed for recordation in the manner required by the laws of the State or any other applicable state, and (b) pay, or arrange to be paid, all costs and fees to be paid by Seller pursuant to Section 2.5, and such arrangements shall be satisfactory to Buyer and its counsel in all respects.

Seller shall (a) have made arrangements for the Deed as well as the short-form memorandum of the Lease and any other Transaction Documents that, in Buyer’s discretion should be recorded (including the Uniform Commercial Code financing statements and/or fixture filings), to be recorded or filed for recordation in the manner required by the laws of the State or any other applicable stateState, and (b) pay, or arrange to be paid, all costs and fees to be paid by Seller Buyer pursuant to Section 2.52.5 and the Lease Commitment Fee pursuant to Section 2.7, and such arrangements shall be reasonably satisfactory to Buyer and its counsel in all respects.
