Common use of Recordation of Agreement; Perfection of Security Interest; Further Assurances Clause in Contracts

Recordation of Agreement; Perfection of Security Interest; Further Assurances. (a) To the extent necessary under applicable law to protect the interests of the Owner, this Agreement, or a memorandum thereof, is subject to recordation in all appropriate public offices for real property records in all the counties or other comparable jurisdictions in which any or all of the Mortgaged Properties are situated, and in any other appropriate public recording office or elsewhere, such recordation to be effected by the Owner at the Owner's expense. (b) The Servicer agrees to execute or cause to be executed such documents and take or cause to be taken such actions as may be necessary to effect the intent of this Agreement, including, without limitation, the execution and delivery of instruments of further assurance and the execution and delivery of such other documents, and the taking of such other actions, as may be reasonably requested by the Owner.

(b) The Servicer Seller agrees to execute or cause to be executed such documents and take or cause to be taken such actions as may be necessary to effect the intent of this Agreement, including, including without limitation, limitation the execution and delivery of instruments of further assurance and the execution and delivery of such other documents, and the taking of such other actions, actions as may be reasonably requested by the OwnerPurchaser.
