Common use of Recording; Confidentiality Clause in Contracts

Recording; Confidentiality. Landlord and Tenant agree, not to record the within Lease, but simultaneously with their execution and delivery of this Lease to execute and deliver a Notice of Lease in the form attached hereto as Exhibit L. In no event shall such document set forth rent or other charges payable by Tenant under this Lease; and any such document shall expressly state that it is executed pursuant to the provisions contained in this Lease, and is not intended to vary the terms and conditions of this Lease. Tenant agrees that this Lease and the terms contained herein will be treated as strictly confidential and except as required by law (or except with the written consent of Landlord) Tenant shall not disclose the same to any third party except for Tenant's employees, brokers, agents, partners, lenders, accountants and attorneys and like parties who have been advised of the confidentiality provisions contained herein and agree to be bound by the same. In the event Tenant is required by law to provide this Lease or disclose any of its terms, Tenant shall give Landlord prompt notice of such requirement prior to making disclosure so that Landlord may seek an appropriate protective order. If failing the entry of a protective order Tenant is compelled to make disclosure, Tenant shall only disclose portions of the Lease which Tenant is required to disclose and will exercise reasonable efforts to obtain assurance that confidential treatment will be accorded to the information so disclosed. In connection with the foregoing, it is acknowledged and agreed that Tenant will be required by applicable governmental regulations to disclose this Lease in its public filings with the United States Securities and Exchange Commission.

In the event Tenant is required by law to provide this Lease or disclose any of its terms, Tenant shall give Landlord prompt notice of such requirement prior to making disclosure so that Landlord may seek an appropriate protective order. In the event Tenant is required by law to provide this Lease or disclose any of its terms, Tenant shall give Landlord prompt notice of such requirement prior to making disclosure so that Landlord may seek an appropriate protective order; provided, however that the requirements set forth in this sentence shall not apply in connection with any disclosure to the extent required to satisfy filing requirements of a public company. If failing the entry of a protective order Tenant is compelled to make disclosure, Tenant shall only disclose portions of the Lease which Tenant is required to disclose and will exercise reasonable efforts to obtain assurance that confidential treatment will be accorded to the information so disclosed. In connection with the foregoing, it is acknowledged and agreed that Tenant will be required by applicable governmental regulations to disclose this Lease in its public filings with the United States Securities and Exchange Commission.

If failing the entry of a protective order Tenant is compelled to make disclosure, Tenant shall only disclose portions of the Lease which Tenant is required to disclose and will exercise reasonable efforts to obtain assurance that confidential treatment will be accorded to the information so disclosed. In connection with the foregoing, it is acknowledged and agreed that Tenant will be required by applicable governmental regulations to disclose this Lease in its public filings with the United States Securities and Exchange Commission, and such disclosures shall not violate this Section 16.8.

In the event Tenant is required by law to provide this Lease or disclose any of its the economic or other material terms, Tenant shall give Landlord prompt notice of such requirement prior to making disclosure so that Landlord may seek an appropriate protective order. If failing the entry of a protective order Tenant is compelled to make disclosure, Tenant shall only disclose portions of the Lease which Tenant is required to disclose and will exercise reasonable efforts to obtain assurance that confidential treatment will be accorded to the information so disclosed. In connection with Notwithstanding the foregoing, it is acknowledged and agreed the provisions of this paragraph shall not be construed so as to prevent Tenant from (x) disclosing the fact that Tenant will be required by applicable governmental regulations to disclose has a lease with Landlord or (y) including the rent and other amounts payable under this Lease in its public filings as part of any consolidated reporting of Tenant’s financial liabilities, so long as the economic terms of this Lease are not specifically identified with the United States Securities and Exchange Commissionor attributed to this Lease, Landlord or any of Landlord’s affiliates.

In the event Tenant is required by law or the requirements of any securities exchange listing the stock of Tenant to provide this Lease or disclose any of its terms, Tenant shall give Landlord prompt notice of such requirement prior to making disclosure so that Landlord may seek an appropriate protective order. If failing the entry of a protective order Tenant is compelled to make disclosure, Tenant shall only disclose portions of the Lease which Tenant is required to disclose and will exercise reasonable efforts to obtain assurance that confidential treatment will be accorded to the information so disclosed. In connection with the foregoing, it is acknowledged and agreed that Tenant will be required by applicable governmental regulations to disclose this Lease in its public filings with the United States Securities and Exchange Commission.

Tenant Each party hereto agrees that this Lease and Lease, the terms contained herein herein, and all information referring to this Lease obtained prior to execution of this Lease and within the Lease Term will be treated as strictly confidential and except as required by law (or any applicable securities exchange, and except as required in connection with any enforcement of the written consent terms of Landlord) Tenant this Lease, neither party shall not disclose the same to any third party except for Tenant's employeeswithout the prior written consent of the other party, brokers, agents, other than to the disclosing party’s partners, lenders, accountants and attorneys and like parties who have been advised of the confidentiality provisions contained herein and agree to be bound by the same. In the event Tenant is required by law to provide this Lease or disclose any of its terms, Tenant shall give Landlord prompt notice of such requirement prior to making disclosure so that Landlord may seek an appropriate protective order. If failing the entry of a protective order Tenant is compelled to make disclosure, Tenant shall only disclose portions of the Lease which Tenant is required to disclose and will exercise reasonable efforts to obtain assurance that confidential treatment will be accorded to the information so disclosed. In connection with the foregoing, it is acknowledged and agreed that Tenant will be required by applicable governmental regulations The obligation not to disclose confidential information shall continue throughout the Lease Term and for one (1) year after the expiration or earlier termination of this Lease in its public filings with the United States Securities and Exchange CommissionLease.

In the event Tenant is required by law to provide this Lease or disclose any of its terms, Tenant shall give Landlord prompt notice of such requirement prior to making disclosure so that Landlord may seek an appropriate protective order; provided, however, that the requirements set forth in this sentence shall not apply in connection with any disclosure to the extent required by law to satisfy filing requirements of a publicly listed company (provided Tenant shall give reasonable prior written notice to Landlord thereof and shall redact from any disclosure of this Lease any sensitive or confidential information if and to the extent permitted under applicable SEC rules and regulations). If failing the entry of a protective order Tenant is compelled to make disclosure, Tenant shall only disclose portions of the Lease which Tenant is required to disclose and will exercise reasonable efforts to obtain assurance that confidential treatment will be accorded to the information so disclosed. In connection with the foregoing, it is acknowledged and agreed that Tenant will be required by applicable governmental regulations to disclose this Lease in its public filings with the United States Securities and Exchange Commission.

Recording; Confidentiality. In no event shall such document set forth rent amounts or the amount of other charges payable by Tenant under this Lease; and any such document shall expressly state that it is executed pursuant to the provisions contained in this Lease, and is not intended to vary the terms and conditions of this Lease. In addition, each party agrees not to issue a press release with respect to this Lease without the reasonable advance approval of the other party. Tenant agrees that this Lease and the terms contained herein will be treated as strictly confidential and except as required by law (or except with the written consent of Landlord) Tenant shall not disclose the same to any third party except for Tenant's employees’s advisors, brokers, agents, partners, lenders, accountants and attorneys and like parties who have been advised of the confidentiality provisions contained herein and agree to be bound by the same; provided that Tenant shall be permitted at any time, upon reasonable prior written notice to Landlord, to disclose the terms of this Lease publicly to the extent required by law in connection with any filing made by Tenant with the United States Securities and Exchange Commission (“SEC”), which disclosure may require attaching a copy of this Lease to such filing; provided, however that Tenant shall redact from such disclosed copy of this Lease any sensitive or confidential information if and to the extent permitted under applicable SEC rules and regulations). In the event Tenant is required by law (other than in connection with any filing made by Tenant with the SEC as aforesaid) to provide this Lease or disclose any of its terms, Tenant shall give Landlord prompt notice of such requirement prior to making disclosure so that Landlord may seek an appropriate protective order. If failing the entry of a protective order Tenant is compelled to make disclosure, Tenant shall only disclose portions of the Lease which Tenant is required to disclose and will exercise reasonable efforts to obtain assurance that confidential treatment will be accorded to the information so disclosed. In connection with the foregoing, it is acknowledged and agreed that Tenant will be required by applicable governmental regulations to disclose this Lease in its public filings with the United States Securities and Exchange Commission.

In connection with Notwithstanding the foregoing, it is acknowledged and agreed to the extent required under applicable securities laws, the provisions of this paragraph shall not be construed so as to prevent Tenant from (x) disclosing the fact that Tenant will be required by applicable governmental regulations to disclose has a lease with Landlord or (y) including the rent and other amounts payable under this Lease in its public filings as part of any consolidated reporting of Tenant's financial liabilities, so long as the economic terms of this Lease are not specifically identified with the United States Securities and Exchange Commissionor attributed to this Lease, Landlord or any of Landlord's affiliates.

The foregoing shall not apply to any information that is otherwise generally available or a matter of record. In connection with the foregoing, it is acknowledged and agreed that Tenant will may be required by applicable governmental regulations to disclose the terms of this Lease in its certain public reports or filings (including without limitation filings with the United States Securities and Exchange Commission).

If failing the entry of a protective order Tenant is compelled to make disclosure, Tenant shall only disclose portions of the Lease which Tenant is required to disclose and will exercise reasonable efforts to obtain assurance that confidential treatment will be accorded to the information so disclosed. In connection with Notwithstanding anything to the foregoingcontrary in this Lease, it is acknowledged and agreed that Tenant will be the provisions of this Section shall not prohibit any disclosures required by applicable governmental regulations to disclose this Lease in its public filings with the United States Securities and Exchange Commissionsecurities laws.

In the event Tenant is required by law (other than securities regulations) to provide this Lease or disclose any of its terms, Tenant shall endeavor to give Landlord prompt notice of such requirement prior to making disclosure so that Landlord may seek an appropriate protective order. If failing the entry of a protective order Tenant is compelled to make disclosure, Tenant shall only disclose portions of the Lease which Tenant is required to disclose and will exercise reasonable efforts to obtain assurance that confidential treatment will be accorded to the information so disclosed. In the event Tenant such party is required by law to provide this Lease or disclose any of its termsterms or any information about the other party, Tenant such party shall give Landlord the other party prompt notice of such requirement prior to making disclosure so that Landlord the other party may seek an appropriate protective order. If failing the entry of a protective order Tenant such party is compelled to make disclosure, Tenant such party shall only disclose portions of the Lease lease or such information which Tenant such party is required to disclose and will exercise reasonable efforts to obtain assurance that confidential treatment will be accorded to the information so disclosed. In Landlord acknowledges and agrees that, notwithstanding the foregoing and without any right of Landlord to contest or any consent from Landlord, Tenant may make the entire Lease (or any portion thereof) public in connection with the foregoingany securities filings, it is acknowledged and agreed that offerings, or listings in connection with Tenant will be required by applicable governmental regulations to disclose this Lease in its being a public filings with the United States Securities and Exchange Commissioncompany.

In connection with Notwithstanding the foregoing, it is acknowledged Tenant acknowledges and agreed agrees that Tenant Landlord will be required by applicable governmental regulations and may report financial information regarding rents and other information about Building operations and revenues to disclose (among others) analysts, regulatory authorities and prospective buyers, investors and lenders, and the financial terms of this Lease may be included in its public filings a consolidated manner with such information, provided, however, that except for the United States Securities and Exchange Commissionsubmission of the rent roll for the Building, such information will not specifically identify Tenant.

Tenant under this Lease; and any such document shall expressly state agrees that it is executed pursuant to the provisions contained in this Lease, and is not intended to vary the terms and conditions of this Lease. Tenant agrees that this Lease and the terms contained herein will be treated as strictly confidential and and, except as required by law (or except with the written consent of Landlord) ), Tenant shall not disclose the same to any third party except for Tenant's employees, brokers, agents, partners, lenders, actual or potential investors or purchasers, accountants and attorneys and like parties who have been advised of the confidentiality provisions contained herein and agree to be bound by the same. In the Inthe event Tenant is required by subpoena or other process of law to provide this Lease or disclose any of its terms, Tenant shall give Landlord prompt notice of such requirement prior to making disclosure so that Landlord may seek an appropriate protective order. If failing the entry of a protective order Tenant is compelled to make disclosure, Tenant shall only disclose portions of the Lease which Tenant is required to disclose and will exercise reasonable efforts to obtain assurance that confidential treatment will be accorded to the information so disclosed. The foregoing shall not apply to any information that is otherwise generally available or a matter of record. In connection with the foregoing, it is acknowledged and agreed that Tenant will be required by applicable governmental regulations to disclose this Lease in its public filings with the United States Securities and Exchange Commission.

Recording; Confidentiality. Landlord and Tenant agree, agree not to record the within Lease, but simultaneously with their execution and delivery of this Lease to execute and deliver a Notice of Lease in the form attached hereto as Exhibit L. In no event shall such document set forth rent or other charges payable by Tenant under this Lease; and any such document shall expressly state that it is executed pursuant to the provisions contained in this Lease, and is not intended to vary the terms and conditions of this Lease.
