Recording Fees, Transfer Taxes and Similar Costs. Any documentary, filing and recording fees and similar costs incurred and imposed upon, or with respect to the transfers of the Assets contemplated under this Agreement shall be borne by the Buyer. All real estate transfer or sale taxes which are incurred with respect to any Asset being transferred pursuant to this Agreement shall be paid by the Buyer.
