Recording of Retained Interests. The Buyer covenants to the Seller that the Buyer will, upon written request of Seller, take all action necessary and appropriate to record, register, and evidence the Retained Profits Interest and the Seller Retained Interest, as Vested Interests in accordance with Section 2.3(c), as applicable, in a manner consistent with the terms and conditions set forth in this Agreement.
