Records Request. At any time, and from time to time, during the Term and the Retention Period, Aurora may make a written request for a copy of the Records created and maintained by Xxxxx and/or any of the Choom OpCos (a “Records Request”). Choom and/or the applicable Choom OpCo(s) shall provide the requested Records as soon as reasonably practicable after the date of its receipt of the Records Request and, in any event, no later than ten (10) Business Days after its receipt of the Records Request. For the avoidance of doubt, a Record as Request shall not be considered an Audit for the purposes of this Agreement.

Records Request. When the City provides the Contractor with notice of a Public Records Request, Contractor agrees to save, hold harmless, indemnify and defend the City, its officers, agents, employees and elected officials from and against claims, lawsuits, fees, penalties and costs resulting from the Contractor’s violation of the Public Records Act RCW 42.56, or Contractor’s failure to produce public records as required under the Public Records Act. Records shall be retained until all litigation, claims or audit findings have been resolved even though such litigation, claim or audit continues past any formal retention period imposed by Washington State Archives, grant or other applicable law or regulation.
