Recovery from Stockholders Clause Samples

Recovery from Stockholders. In the event that Parent shall have the right under Section 6.3(b) to recover any Recoverable Amount directly against the Stockholders, Parent shall have the right at and after such time to recover such Recoverable Amount directly from the Stockholders on a Pro Rata Share basis. The Stockholders and the Stockholder Representative agree that any Recoverable Amount recovered from the Stockholders pursuant to the preceding sentence will be free and clear of any interest of the Stockholder Representative, the Stockholders or any other Person (other than Parent and its Affiliates).
