Redemption of Common Units by Atlas Energy. The Parties acknowledge that Atlas Energy will use the net proceeds from the issuance of the additional Common Units pursuant to the exercise of the Option to redeem 948,750 Common Units from Atlas America at a redemption price equal to the same net price received by Atlas Energy from the Underwriters.
