Redemption Priority Clause Samples

The Redemption Priority clause establishes the order in which different classes of investors or stakeholders are entitled to receive payment when a company redeems its securities or distributes proceeds, such as during a sale or liquidation event. Typically, this clause specifies that certain preferred shareholders are paid back their investment (sometimes with a premium) before common shareholders or other classes receive any proceeds. By clearly defining the sequence of payments, the clause ensures fairness and predictability, protecting the interests of priority investors and reducing disputes over distribution of funds.
