Redeveloper Closing Contingencies Clause Samples

Redeveloper Closing Contingencies. Redeveloper’s obligation to close shall be contingent upon the following: (i) Receipt of the written indemnification from JPA described in Section 404.C below; (ii) Redeveloper’s acceptance of the “clean” fill confirmation, environmental covenants, and Operations and Maintenance Plan regarding the Project Site as described in Section 404.A below; (iii) Execution and delivery of the Energy Services Agreement between the Redeveloper and JPA pursuant to Section 302.A.2(c) below; (iv) City approval of the Administrative Final Plat of West Haymarket 2nd Addition which in part replats the Project Site as ▇▇▇ ▇, ▇▇▇▇ ▇▇▇▇▇▇▇▇▇ 2nd Addition pursuant to Section 201.A above; (v) Execution and delivery of the Skywalk Bridge Easement Agreement between the JPA and Redeveloper pursuant to Section 310.B below; (vi) Availability of city water, city sanitary sewer, city storm sewer, electrical, cable/data and natural gas utilities within the public right-of-way abutting the Project Site; (vii) City Council approval of the use of Fast Forward Funds to assist in the cost of financing the Skywalk Bridge; (viii) Execution and delivery of the Use of Right-of-Way Easements and Hold Harmless Agreement.
Redeveloper Closing Contingencies. Redeveloper’s obligation to close shall be contingent upon the following: (a) Redeveloper’s approval of all due diligence investigations of the Property including title and survey review, environmental site assessment and other physical examination by Redeveloper; (b) Redeveloper’s receipt of adequate construction and permanent financing for the Project; (c) Redeveloper satisfying all conditions precedent established by its lender; and (d) The City’s approval of this Agreement.
Redeveloper Closing Contingencies. Redeveloper’s obligation to close shall be contingent upon the following: (i) Execution and delivery of the Redeveloper Energy Services Agreement between the Redeveloper and JPA pursuant to Section 302.A.2; (ii) Execution and delivery of the Access Easement between the JPA and Redeveloper pursuant to Section 309.A; and
Redeveloper Closing Contingencies. Redeveloper’s obligation to close shall be contingent upon: (a) the Redeveloper’s satisfaction of the evidence of title described in Section 202.C. 3 below and the City’s representations and warranties described in Section 202 C. 4. below.
