Reduction in Consideration. Any payments made by the Vendor to the Purchaser in respect of Claims shall, to the extent lawfully possible, be treated by the parties as a reduction in the Consideration; provided, however, that this Clause 5.5 (Reduction in Consideration ) shall not in any way limit or restrict the amount recoverable by the Purchaser or any other person under this agreement to the amount of the Consideration or any other amount (but this is without prejudice to the limitations set out in Clause 6 (Remedies of the Purchaser ).
Reduction in Consideration. Any payment made by the Vendors or the Warrantors in respect of a breach of any Warranties or payment made under the Indemnities or the Tax Deed, or any other payment made pursuant to this Agreement, shall be and shall be deemed to be pro tanto a reduction in the price paid for the Shares under this Agreement.
Reduction in Consideration. Any payment made by a Seller for any breach of the Warranties or under the Tax Covenant shall be deemed to be a reduction in the Consideration in relation to that Seller.
Reduction in Consideration. Any amount paid by either of the Sellers in respect of any claim shall be treated as a reduction in the relevant consideration payable to such Seller as contemplated by this Agreement.
