Reduction in Purchase Price. Notwithstanding anything to the contrary in the Purchase Agreement (including, without limitation, Section 2.1 thereof), the Purchase Price shall be, and hereby is, decreased from One Hundred Twenty-Seven Million, Seven Hundred Fifty Thousand Dollars ($127,750,000) to One Hundred Twenty-Six Million, Five Hundred Thirty-Five Thousand Dollars ($126,535,000).
