Reduction in Shares. To the extent that the Manager exercises the 2012 Going Private Option or the 2012 Assumed Option, the shares of Common Stock subject to the 2012 SAR shall be reduced by a number of shares equal to the shares as to which such option is exercised. To the extent that the Manager exercises the 2012 SAR, the shares of Common Stock subject to the 2012 Going Private Option or the 2012 Assumed Option will be reduced by a number of shares equal to the shares as to which the 2012 SAR is exercised.
