Reference Shareholders’ Agreement. The Borrower has delivered to the Administrative Agent a true, correct and complete copy of the Reference Shareholders’ Agreement as in effect on the Closing Date. No provision of the Reference Shareholders’ Agreement has been amended, supplemented or modified in any respect. No “default,” “event of default” or similar event has occurred and is continuing under the Reference Shareholders’ Agreement.
