Common use of Referral to Executive Officers Clause in Contracts

Referral to Executive Officers. If a Party makes an election under Section 2.5.2 to refer a matter on which the JSC cannot reach a consensus decision for resolution by the Executive Officers, then the JSC will submit in writing the respective positions of the Parties to their respective Executive Officers. The Executive Officers will use good faith efforts to resolve any such matter so referred to them as soon as practicable, and any final decision that the Executive Officers agree to in writing will be conclusive and binding on the Parties.

Referral to Executive Officers. The Executive Officers will use good faith efforts to resolve any such matter so referred to them as soon as practicable, practicable and any final decision that the Executive Officers agree to in writing will be conclusive and binding on the Parties.

If a Party makes an election under Section 2.5.2 8.4.3 (Decisions of the JSC) to refer for resolution by the Executive Officers a matter on as to which the JSC cannot reach a consensus decision for resolution by the Executive Officersdecision, then the JSC will submit in writing the respective positions of the Parties to their respective Executive Officers. The Executive Officers will use good faith efforts to resolve any such matter so referred to them as soon as practicablepracticable but, in any event, within [***] after such matter is referred to them (or such longer period as the Executive Officers may agree upon), and any final decision that the Executive Officers agree to in writing will be conclusive and binding on the Parties.

If a Party makes an election under Section 2.5.2 9.6.2 (Decisions of the JSC) to refer a matter on as to which the JSC cannot reach a consensus decision for resolution by to the Executive Officers, then the JSC will submit in writing the respective positions of the Parties to their respective Executive Officers. The Such Executive Officers will use good faith efforts efforts, in compliance with this Section 9.7.1 (Referral to Executive Officers), to resolve any promptly such matter so referred within [***] after the JSC’s submission of such matter to them as soon as practicablesuch Executive Officers, and any final decision that the Executive Officers agree to in writing which good faith efforts will be conclusive and binding on the Partiesinclude at least [***].
